Terms of Service

Effective Date: April 22, 2025

1. Definitions

  • “App,” “Service,” or “PlaceSpotter.” The web and mobile software, features, and content we make available.
  • “Credit(s).” A unit that can be exchanged inside the App for one (1) photo‑location analysis or other clearly labeled premium action.
  • “Credit Grant.” A bundle of Credits we add to your account—whether from (a) free starter allotments, (b) recurring subscription drops, (c) one‑time “credit pack” purchases, or (d) compensation or goodwill.
  • “You,” “User,” or “Customer.” The individual or entity that creates an account, purchases Credits, or otherwise uses the Service.

2. Account Eligibility & Security

You must be at least 18 years old and legally able to enter a contract to create an account. You are responsible for safeguarding your login credentials and for all activity under your account.

3. License to Use the Service

Subject to these TOS and our Acceptable‑Use Policy, we grant you a limited, non‑exclusive, revocable, non‑transferable license to use the App for its intended purpose. We retain all intellectual‑property rights in the Service and its underlying technology.

4. Credits

4.1 Purchasing & Billing

  1. Subscriptions. If you purchase a subscription, the indicated number of Credits is granted to your account at the start of each billing period.
  2. Credit Packs. You may buy additional one‑time Credit packs at the prices shown at checkout.
  3. Payment Processing. All payments are processed by Stripe, Inc. We do not store complete payment‑card details.
  4. Taxes. Prices are exclusive of any taxes; applicable taxes will be added at checkout.

4.2 Expiration

  • Standard rule. All newly granted Credits—whether from a subscription drop or a credit‑pack purchase—expire 12 months after the grant date and are deleted automatically at 23:59 UTC on the expiration date.
  • Special grants. Promotional or compensation Credits may carry a shorter expiration that will be explicitly stated at the time of grant (e.g., 30 days for “failed‑analysis” compensation).
  • FIFO Consumption. Credits are consumed on a first‑in‑first‑out basis; earlier‑expiring grants are depleted before later ones.

4.3 No Monetary Value; Non‑Transferability

Credits are not cash, stored value, or a gift card. They hold no intrinsic monetary value, are non‑refundable (except where required by law), and cannot be transferred, exchanged, or resold.

4.4 Refunds

Payments are final. At our sole discretion we may issue refunds or Credit reversals; any refund may result in the corresponding Credit Grants being clawed back or reduced.

5. Account Closure & Effect on Credits

5.1 Voluntary Deletion

You may delete your account at any time from the Settings page or by contacting support. Deletion is irreversible; we permanently erase your photos, analyses, and personal data (except as required for legal or accounting purposes). All unused Credits are forfeited upon account deletion and cannot be restored even if you create a new account using the same email.

5.2 Termination for Cause

We may suspend or terminate your account immediately, with or without notice, if you violate these TOS or the Acceptable‑Use Policy. Upon termination, unused Credits are likewise forfeited.

6. Modifications, Downtime & Beta Features

We may modify, suspend, or discontinue any part of the Service at any time. We strive for 99 % uptime but do not guarantee uninterrupted availability. Features labeled “beta,” “preview,” or similar are provided “as is” without warranties.

7. Prohibited Conduct

You agree not to (a) infringe third‑party rights; (b) attempt to reverse‑engineer or interfere with the Service; (c) upload or request analysis of images that you do not have the legal right to process; or (d) use the Service for unlawful, harassing, or deceptive purposes.

8. Disclaimers & Limitation of Liability

The Service is provided “as‑is” without warranties of any kind. To the fullest extent permitted by law, we disclaim all implied warranties (merchantability, fitness for a particular purpose, non‑infringement). Our total liability for any claim arising out of or relating to the Service will not exceed the greater of (a) USD 100 or (b) the amount you paid us in the 12 months preceding the claim. Some jurisdictions do not allow certain disclaimers, so they may not apply to you.

9. Indemnification

You will indemnify and hold PlaceSpotter, its officers, employees, and agents harmless from any third‑party claim arising from your use of the Service or violation of these TOS.

10. Governing Law & Dispute Resolution

These TOS are governed by the laws of the State of California, USA, without regard to conflict‑of‑law principles. All disputes shall be resolved exclusively in the state or federal courts located in San Francisco County, and you consent to personal jurisdiction there.

11. Changes to These Terms

We may update these TOS by posting a revised version and updating the “Effective Date.” Material changes will be announced via email or in‑app notice at least 14 days before they become effective. Continued use after the effective date constitutes acceptance.
